AGREEMENT OF SERVICE-Qualification Night

The CLIENT:

(1) Agrees to host the said qualifying audition as outlined below and services shall be performed by CMO as requested.

(2) Agrees that this night of karaoke shall begin at the contracted time and shall not be delayed for any reason.

(3) Understands that once entered into this agreement the scheduled night of qualification cannot be changed for any reason.

(4) Agrees to have maximum available staff on hand to provide excellent service to the patrons on the qualifying night (s).

(5) Shall provide necessary security for safety and capacity regulations. CMO is not responsible for over capacity.

(6) Is responsible for liability insurance and compliance with ASCAP, BMI and SESAC.

(7) Understands that there is no entry fee required by any of the auditions, and that there cannot be any type of cover charge or pre-purchase requirements.

(8) Understands the sound levels are at the discretion of CMO and the KJ on deck.

(9) Understands that CMO shall set up a scroller poster that promotes the Karaoke Season in general, which also alerts auditioners where to check in.

(10) Understands that CMO is in partnership with the New Mexico Dream Center which is a nonprofit organization helping homeless teens get off the streets. Information will be available to anyone interested and this organization will be mentioned in the opening videos.

(11) Shall provide water in pitchers and glasses for all CMO staff and judges and shall not be charged for it.

(12) Shall follow the guidelines outlined for the qualification night and all rules established for the qualifying night.

(13) Shall provide a place for Ozz to enter singing hidden from the crowd.

(14) May not add any other promotional services on the Audition Night without prior written consent from CMO such as liquor or tobacco ladies, photographers, videographers, etc.

(15) May provide additional prizes, such as door prizes and promotional novelties from vendors with advance written notice to CMO.

(16) Shall provide a $50 value gift certificate to CMO, to be used as a door prize at the NMSF Showcase on the night that the KJ representing the venue is on stage.

(17) Shall provide a reserved table for the CMO Staff (# of chairs to be determined), to be reserved at least three hours prior to the start of the audition. This table must accessible to electricity for the laptop and must have access to Wi-Fi. CMO shall determine where this table shall be located. This table shall have pitchers of water and cups for the staff.

(18) Shall provide a table with three chairs for the judges. This table location shall be determined by CMO. This table shall have pitchers of water and cups for the judges.

(19) Shall not book any event that could interfere with the Audition Night at least two hours prior to the start of the night. Historically people begin to show up 2-3 hours in advance and should have ample seating available.

(20) Must have at least a one-year track record of having karaoke on a regular basis, on a regular night.

(21) Must also have been in business for at least one year.

(22) If the Venue pays for this promotion, the active KJ at the time of the NMSF Karaoke Showcase shall be the KJ that hosts the night at the Fair to represent the KJ. In other words, if a KJ hosts an audition night at the venue, but is not the active KJ at the time of the Fair, that KJ will not be the host. The active KJ at that time will be host, unless that KJ is on the CMO no list. The )No CMO No List) is Live Mic Entertainment, DJ Daniesan and Boop Karaoke.

(23) If the KJ pays for the promotion, and moves to another venue, this contract will follow the KJ, not the venue.

(24) Understands that if a KJ is terminated prior to the audition night, CMO may charge a $50 fee to reinstate the KJ for training and admin costs.

(25) Shall provide a parking place for the CMO van that Ozz can wait in until time for him to enter the venue.

(26) Shall provide at least one other word monitor so that the audience and the judges can see the lyrics.

(27) Understands CMO may place a banner promoting CMO and the NMSF Karaoke Showcase in general.

(28) Understands the judges shall also be judging the KJ on sound, accuracy and overall performance as there is Best KJ Award that is awarded at the Showcase.

(29) Understands the judges shall also be judging the Venue on service, cleanliness, bathroom and overall atmosphere as there is Best Venue Award that is awarded at the Showcase.

(30) Must supply a logo to CMO in a JPEG by March 24, or CMO will use a logo off the internet.

(31) The KJ must supply a picture by March 24 or CMO will use a picture on file or from Facebook.

CMO:

(1) Reserves the right to refuse any Client to be a participating venue for any reason. Should CMO find it necessary to terminate this contract with said client because CMO believes it is in the best interest of the NMSF, CMO shall refund all fees paid within thirty days of cancellation. Cancellation by the client is non refundable.

(2) Does not guarantee any results of this event, only that the agreed services shall be performed.

(3) Limits this competition to only local venues. Corporate venues may not participate.

SHALL:

(1) Perform the qualifying competition as outlined below.

(2) Provide three judges for the audition night and the compensation thereof.

(3) Provide an assistant to manage the audition night and be a liaison between CMO, the Venue and the KJ.

(4) Manage the reservations of the competitors, confirmations, check ins, judging and advancing.

(5) Provide mentors to help the competitors though the audition.

(6) Provide a special guest singer for the night of the audition and the compensation thereof.

(7) Provide a photographer for the night of the audition, liability releases, and pictures to the venue if requested, and the compensation to the photographer.

(8) Provide a video clipper to video clips of the audition night, and then edit the video and post the video on the NMSF Karaoke Showcase Page on the CMO Website.

(9) Provide the venue with four promotion posters. A CMO representative shall post the posters and the venue may not remove or move the posters before the audition night. There locations may vary according to the venue, however, the entry door and bathroom doors are most visible. There will be a fee for additional or replacement posters.

(10) (6) (7) (8) do not apply to Satellite Venues.

(11) Include the venues logo on the NMSF Karaoke Showcase page, including the date and time of the audition night and the regular karaoke nights.

(12) Include the venue in the ongoing NMSF Karaoke Showcase Event.

(13) Text out to the CMO text group and invite all to the audition night at the venue.

(14) Provide the KJ with 25 hand out business cards that promotes the event, that the KJ may hand out to potential singers.

(15) Post in Craigslist promoting the audition night at the said venue.

(16) Will feature in the CMO Members Email group one week prior to the audition night

(17) Provide a background banner to the KJ promoting the audition night for the KJ to display on the lyrics screen 30 days prior to the audition night.

(18) Provide a promo card the KJ for announcements.

(19) Post & Tag on Facebook using zip code marketing three days before the night of the audition at the said venue.

(20) Provide Ozz to open the show and be on site until the advancers are announced.

(21) Six bandannas as an Ozz trademark that shall be given to persons in the audience.

(22) Live Facebook feed the day of the audition by Ozz.

(23) Place your logo on the banner featured at the NMSF every night of the Showcase.

(23a) EMail Blast-2 times per week beginning April 7-August 27.

(23d) Live Facebook feed 2 times per week starting 30 days prior to the audition night.

(24) Feature your banner on the CMO Home Page Scroller as early and as long as possible. From the day it is built until the day after the audition.

(25) Make every effort in marketing to book the venue full of contestants and then go to a standby list and make every effort to fill the venue to capacity.

(26) Shall not be held liable for any damages or injuries to the venue or persons at the audition.

(27) Provide a check off list to the owner or the manager that will be on duty the night of the audition to ensure that the venue shall be prepared as per this agreement.
